The following contains the terms and conditions governing your use of the service and the information, data and materials available to you on this website ("the Materials"). By using the service, you agree to these Terms of Use. Please note that the Local Search Association™ ("LSA") reserves the right to update, revise and modify these Terms of Use periodically. Your continued use of the service after such modifications are posted to the website constitutes acceptance of such revised Terms of Use.

1. Proprietary Rights and Confidentiality: The website and Materials required the expenditure of considerable time and money by LSA. Accordingly, you agree to treat the Materials in confidence and agree not to disclose or make it available in any form to any other person or entity without the prior written consent of LSA, except as expressly permitted in the Terms of Use. You acknowledge and agree that the Materials, and the "look and feel" of this website, are protected under the copyright, trademark, patent, trade secret, and or other intellectual property protection laws. You agree not to reverse engineer or decompile the Materials. You will not use the Materials to operate a service bureau or for any use involving the processing of data of others, nor may you resell, sublicense or otherwise commercially exploit the Materials. You may not alter or remove any copyright notices or other proprietary legends contained in or on the Materials, nor may you copyright, trademark, patent or otherwise assert any intellectual property rights in the Materials.

2. License to Use Materials: Provided you comply with these Terms of Use, LSA grants you a nonexclusive, non-transferable license to view and print the Materials solely for your internal business use. You may, subject to the Terms of Use, make the Materials available to your employees who need to know the information contained therein, provided they are advised as to its confidential nature and provided further that you shall be liable for any violation of this license by your employees. You may also disclose relevant portions of the Materials to your advertising clients in the normal course of business.

3. Passwords and User IDs: You will receive a password and User ID upon subscribing to the service and paying all applicable charges. The User ID and password will permit a single user to log into the LSA IRIS ONLINE™ website and access the Materials. Each user requires a separate password and User ID, which will be provided upon payment of applicable charges. You agree to keep confidential all passwords, User IDs, and IP addresses, and are solely responsible for any liability or damages resulting from your failure to do so. You agree to notify LSA immediately if you suspect any breach of security, such as loss, theft, or unauthorized disclosure of your password or User ID. You agree to exit from the service at the end of each session.

4. Consent for Electronic Delivery: By using the Materials, you consent to receive from LSA communications, including notices, agreements or other information ("Notices") in connection with the Materials electronically. LSA will provide electronic Notices by posting them on this website.

5. Your Suggestions - License to LSA: LSA welcomes your feedback, questions, comments, suggestions, plans, ideas and the like for improving LSA IRIS ONLINE™ and your user experience. Any such information provided by you shall be deemed non-confidential and LSA assumes no obligation to protect it from disclosure, nor will LSA compensate you for its use. You hereby unconditionally and irrevocably transfer and assign to LSA a royalty-free right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, incorporate into other works, distribute, perform, display and otherwise exploit the information you send to LSA in any form, media or technology now known or hereafter devised.

6. Disclaimer of Warranties: LSA MAKES NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, REGARDING OR RELATING TO THE MATERIALS OR THE PERFORMANCE OR OPERABILITY OF THE WEBSITE. LSA SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE MATERIALS AND THE WEBSITE. ACCORDINGLY, YOU ACCEPT THE WEBSITE AND THE MATERIALS "AS IS," AND LSA ASSUMES NO RESPONSIBILITY FOR PERFORMANCE OF THE WEBSITE OR THE ACCURACY OF THE MATERIALS, NOR DOES LSA ASSUME ANY RESPONSIBILITY TO SUPPLY YOU WITH ANY ERROR CORRECTIONS, UPDATES OR ENHANCEMENTS OF THE WEBSITE OR MATERIALS. IN NO EVENT SHALL LSA BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY LOST PROFITS OR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES ARISING OUT OF THE USE OF THE WEBSITE OR MATERIALS.

7. Termination: The license granted hereunder shall automatically terminate on the date your subscription for the service terminates or expires, or upon violation of the Terms of Use.

8. Governing Law: The Terms of Use and the license granted hereunder shall be governed by the laws of the State of Michigan, without regard to conflicts principles. Any litigation arising out of your subscription, the Terms of Use or the license granted hereunder shall be brought in the courts of the State of Michigan.
